I propose the following changes to the number of ordinary committee members clause 20.3.b and associated quorum requirement for committee meetings [27.1].

Changes

20.3.b

Current;

(3) Subject to section 23 of the Act, the committee shall consist of--

(a) the officers of the Association; and
(b) two ordinary members--

Proposed;

(3) Subject to section 23 of the Act, the committee shall consist of--

(a) the officers of the Association; and
(b) two four ordinary members--

27.1

Current;

(1) Any 4 members of the committee constitute a quorum for the conduct of the business of a meeting of the committee.

Proposed;

(1) Any 4 members of the committee including 1 officer of the association(as defined in clause 21.1) constitute a quorum for the conduct of the business of a meeting of the committee.

Concern

The last year has seen two members of the committee become unavailable the first person took a leave of absence early in the year reducing the number of committee members to 5. Towards the end of the term a second committee member become unavailable, this meant that the committee was reduced to the minimum to form a quorum.

rational

  1. additional pressure on the committee members to be available - if the current positioned required a decision on a subject where there is a potential COI the committee would be unable to establish a quorum.
  2. a number of meetings were resheduled, ajourned or abandoned
  3. causes delays in decision making - lack of ability to followup, monitor decisions that are taken
  4. missed opportunities - limited input due to small knowledge base means discussion may not be able fully consider proposals
  5. affected the committee's communication ability - no ability to spread the work load


note for clarity: I dont consider the below issue to have actually occured nor do I have any reason or evidence thats suggest that there is any remote possibility of it occuring There is also a potential with committee meetings attended only by the same small core of members for the committee to be improperly influenced.

effect

Should this come into effect it would apply from the next AGM in 2013, though the rules(clause 22.2) do allow for the committee to appoint a member of the Association to a vacancy, IMHO these 2 positions couldnt be declared vacant until a general meeting was called.
