Notification letter for 2023 AGM

Dear Wikimedia Australia Member,

The Annual General Meeting of Wikimedia Australia Inc. (WMAU) will be held online on:

Sunday 6 August 2023 at 5pm AEST (3:00pm WA / 4:30pm SA/NT / 5:00pm ACT, NSW, QLD, TAS, VIC).

No registration is required.

The scope of the meeting is to vote on a special resolution to amend the rules of the association, to receive the annual reports from officers of the association, and announce the results of the ballot for the board for the upcoming year.

Current members of the Association are entitled to attend and vote at this meeting.

Special Resolution to change the Wikimedia Australia Rules of Association

The WMAU Board proposes two changes to the Rules of Association to be voted on at a Special Resolution at the AGM.

That Wikimedia Australia adopt the 2012 model rules with minor amendments
That the Term of Office for board members be extended to two years (and other minor amendments).

Board nominations

Nominations open for the Wikimedia Australia Board on Saturday 22 July 2023 and close Saturday 29 July 2023.

If you wish to stand or nominate someone for the board – as an ordinary member or office holder – the procedure is as follows:

You need a nominator and a seconder, both of whom must be current Wikimedia Australia financial members.
Both nominators need to email agm@wikimedia.org.au
Once nominated, the nominee also needs to send an email accepting their nomination
Once all three emails have been received, a reply email will be sent to confirm the nomination has been accepted.
The nomination shall be published on the Wikimedia Australia 2023 AGM page as soon as practicable thereafter.

If required, a board election will take place prior to the meeting via online voting, as in previous years, and as permitted by Rule 23(6)(b).

Key dates and times for this meeting are as follows (all times in AEST):

Saturday 22 July 2023 – Nominations open
11:59pm AEST, Saturday 29 July 2023 – Nominations close (10pm AWST, 11:30pm ACST).

9:00am AEST, Sunday 30 July 2023 – Voting for new board begins

Details for voting, if any, will be announced and the election software will send voting keys individually to qualified voters.

5:00pm AEST Friday 4 August 2023 – Voting for election of board members closes.

4:00pm AEST Saturday 5 August 2023 – Proxies to be sent via email to contact@wikimedia.org.au

5:00pm AEST Sunday 6 August 2023 – Annual General Meeting held via Zoom video conference

For members who have opted to receive notification via post, you will receive a letter containing this notice as well as a proxy form and a return envelope, and this message is for your information only.
